Terms of Service

This License Agreement (hereinafter referred to as the “Agreement”) is an offer from “SEMSEO” S.R.L, represented by the General Director Gratii I., acting on the basis of the Charter, hereinafter referred to as the Licensor, and is addressed to any capable person, hereinafter referred to as the Licensee, under the conditions set forth below.

You agree to comply with these Terms of Service. If you do not agree to these Terms of Service, do not use the website https://smartchat.md. In these Terms of Use, the term “you” refers to both you as an individual and the organization you represent. If you violate any of these Terms of Service, we reserve the right to cancel your account or block access to your account without prior notice.

Your Account

1. Your account must be registered by a human. Accounts registered by “bots” or other automated methods are not allowed. Also, you must be 16 years of age or older.
2. You must provide a valid email address and any other information required by https://smartchat.md/ during the registration process. One individual or legal entity may not have more than one free account.
3. You are responsible for the security of your account and password. We are not responsible for any losses or damages resulting from your failure to fulfill this security obligation. Our Privacy Policy applies to the personal information you provide.

Updates and Application Support

Applications purchased on the website https://smartchat.md/ are governed by the terms of this agreement: informational support for users of https://smartchat.md/ is provided free of charge, and technical custom solutions are paid separately at a rate of 25 euros per hour.

Payment and Refund Policy

For the purchase of https://smartchat.md/ and applications from https://smartchat.md/, a valid credit or debit card or an account on https://www.2checkout.com/ is required. Invoices for software from https://smartchat.md/ and applications from https://smartchat.md/ are issued in advance in accordance with our pricing schedule. To treat everyone equally, no exceptions will be made. All fees do not include any taxes, fees, or charges imposed by tax authorities, and you are responsible for paying all such taxes, fees, or charges. You agree to pay any taxes that may apply to your use of https://smartchat.md/ or payments made by you in connection with your use of https://smartchat.md/. You will be entitled to a full refund only if all of the following conditions are met:
1. The software from https://smartchat.md/ and/or applications from https://smartchat.md/ have issues and/or do not function properly on your hosting/server/website.
2. The support service has confirmed the issue and was unable to resolve it within 72 hours from the moment you provided access and/or links to your hosting/server/website.
3. The issues/problems are related to the software from https://smartchat.md/ and/or applications from https://smartchat.md/. You will not be entitled to a refund if the issue is related to your hosting/server.
To diagnose and resolve the issue, our support service may request access (username, password, IP address) to your website/hosting/server. You will not be entitled to a refund if you refuse to provide us with this information. We apply the refund policy for https://smartchat.md/ and applications from https://smartchat.md/.

Violation of These Terms of Service

We reserve the right to investigate and prosecute violations of any of these Terms of Service to the fullest extent of the law. We may involve and cooperate with law enforcement authorities in prosecuting users who violate the Terms of Service. By agreeing herewith, you acknowledge that https://smartchat.md/ may, at our discretion, remove any data, accounts, or other content that violates these Terms of Service or is otherwise undesirable. The support board, at its discretion, has the right to suspend or terminate the operation of your account if you violate these Terms of Service. Any termination of your account will result in deactivation or deletion of your account, denial of access to your account, and deletion of all content in your account.

Slack Application

The Slack application (https://smartchat.md/app/slack/) does not require continuous expenses, but we reserve the right to stop providing the service at any time if we deem it necessary. The main reason for stopping the service is sending/receiving too many messages. Although we offer integration with Slack for free, our servers must process each sent message for the integration to work, and this incurs costs (which we pay for). In case we decide to stop the service:
1. We will contact you before stopping the service to notify you and discuss any solutions to the problem.
2. We will provide you with technical guidance on continuing to use the Slack application without using our servers or provide you with a full refund for the Slack application.

Messenger Application

The Messenger application (https://smartchat.md/app/messenger/) does not require regular expenses, but we reserve the right to cease providing the service at any time if we deem it necessary. The primary reason for stopping the service is the sending/receiving of too many messages. While we offer integration with Messenger for free, our servers must process each sent message for the integration to work, incurring costs (which we cover). In case we decide to stop the service:
1. We will contact you before discontinuing the service to notify you and discuss any solutions to the problem.
2. We will provide you with technical guidance on continuing to use the Messenger application without using our servers or offer you a full refund for the Messenger application.

Intellectual Property and Content Ownership Rights

The content of the software from https://smartchat.md is protected by copyright. https://smartchat.md and the logos of https://smartchat.md are trademarks of https://smartchat.md and cannot be used without our written permission. You may not duplicate, copy, sell, share, distribute, or reuse any part of the HTML/CSS/PHP/JS or visual design elements of the software from https://smartchat.md, applications from https://smartchat.md (Slack, Dialogflow, Woocommerce, and all other applications and add-ons from https://smartchat.md), and this website (https://smartchat.md) without written permission. You do not acquire any ownership rights when using the Support Service and software from https://smartchat.md. You may use our logos and graphics on this website, including those, only for promotion (as part of an affiliate program or within any other marketing activity) of the software from https://smartchat.md and applications from https://smartchat.md. You are allowed to install and use the software from https://smartchat.md only on 1 website/domain per license. Purchasing the standard license from https://smartchat.md grants you legal rights to install and use the software from https://smartchat.md only on 1 website/domain. Purchasing the extended license from https://smartchat.md DOES NOT give you the right to resell or distribute https://smartchat.md, including its parts, including as SAAS.
